These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles.

Any disputes shall be subject to the exclusive jurisdiction of the courts located in New York.

These Terms, together with any applicable engagement agreements or Additional Terms, constitute the entire agreement between you and Bizalion Solutions.

We are not liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, labor disputes, or disruptions in infrastructure.

You may not assign or transfer these Terms without our prior written consent.

We may assign our rights and obligations without restriction.

Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce such provision in the future.
